ARBITRATION AND DISPUTE CLAUSE
Arbitration, Liability, and Dispute Resolution Policy
This Arbitration, Liability, and Dispute Resolution Policy (“Policy”) applies to all purchases, use of products, and interactions with The ReplenishShoppe, LH Solutions, LLC, Shopify, and all related individuals and entities described in this section. By accessing our website, purchasing our products, or using any service we provide, you agree to be bound by the terms of this Policy.
1. Mandatory Binding Arbitration
You agree that any dispute, claim, or controversy arising out of or relating to your purchase or use of any product, any alleged manufacturing defect or malfunction, any alleged temporary or permanent injury, any alleged death, any alleged loss of livelihood or economic harm, any alleged negligence, strict liability, breach of warranty, failure to warn, or any interaction with The ReplenishShoppe, LH Solutions, LLC, Shopify, or their affiliates shall be resolved exclusively through final and binding arbitration administered by a recognized arbitration body, such as the American Arbitration Association, under its applicable rules. You further agree to waive the right to bring any claim in court, including the right to a jury trial, except as otherwise provided in this Policy.
2. Parties Protected Under This Policy
This Policy protects and applies to The ReplenishShoppe, LH Solutions, LLC, Shopify, and each of their respective partners, directors, officers, employees, affiliates, agents, contractors, service providers, and licensors. These individuals and entities are collectively referred to as the “Protected Parties,” and all protections described in this Policy extend fully to each of them.
3. Scope of Claims Covered
This Policy applies broadly to all claims, including but not limited to product defects or malfunctions, damage to property, temporary or permanent bodily injury, death, loss of income, employment, or livelihood, emotional distress, economic loss, negligence, strict liability, breach of warranty, or any other claim arising from or relating to the purchase, possession, or use of any product sold or distributed by The ReplenishShoppe or LH Solutions, LLC. This Policy is intended to be interpreted as broadly as legally permissible to ensure comprehensive coverage of all disputes.
4. Class Action Waiver
All arbitration proceedings under this Policy shall be conducted on an individual basis only. You expressly waive any right to participate in class actions, collective actions, representative actions, private attorney general actions, or consolidated proceedings. No arbitrator shall have authority to hear or preside over any claim brought on behalf of a class or group.
5. Release of Claims
To the fullest extent permitted by law, you release, waive, and forever discharge all Protected Parties from any and all claims, demands, actions, liabilities, damages, losses, or expenses—whether known or unknown—arising out of or relating to any alleged product defect or malfunction, any alleged temporary or permanent injury, any alleged death, any alleged loss of livelihood or economic harm, any alleged property damage, any alleged negligence, strict liability, or breach of warranty, or any use or misuse of any product purchased from The ReplenishShoppe or LH Solutions, LLC. This release applies regardless of the legal theory asserted.
6. Waiver of Jury Trial
You knowingly and voluntarily waive any right to a trial by jury in any action, proceeding, or arbitration arising out of or relating to your purchase or use of any product, any alleged defect, injury, or damage, or any dispute with any Protected Party. All disputes shall be resolved exclusively through binding arbitration as described in this Policy.
7. Limitation of Liability
To the maximum extent permitted by law, the total cumulative liability of all Protected Parties for any and all claims arising out of or relating to any product or service shall not exceed the amount you paid for the product and shall in no event exceed $100.00 USD, regardless of the nature of the claim. This limitation applies to compensatory damages, consequential damages, incidental damages, punitive damages, statutory damages, and any other form of relief. You agree that this limitation is an essential basis of the bargain and applies even if any remedy fails of its essential purpose.
8. Hold Harmless / Indemnification
You agree to indemnify, defend, and hold harmless all Protected Parties from any and all claims, damages, losses, liabilities, costs, or expenses, including attorneys’ fees, arising out of or relating to your purchase or use of any product, any misuse or unauthorized modification of a product, any violation of this Policy, or any breach of applicable law.
9. Governing Law
This Policy shall be governed by and interpreted in accordance with the laws of the state in which The ReplenishShoppe is legally registered, without regard to conflict‑of‑law principles.
10. Severability
If any portion of this Policy is found unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
